Sociala Widget Waitlist Terms

Effective Date: July 16, 2026

These Sociala Widget Waitlist Terms (the “Waitlist Terms”) govern participation in the waitlist, quiz, personalized preview, early-access, Founding Year, and other promotional programs related to the Sociala Widget.

These Waitlist Terms constitute an agreement between you and Sociala Inc., a Delaware corporation with a mailing address at 1201 North Market Street, Suite 111-N52, Wilmington, Delaware 19801, United States (“Sociala,” “we,” “us,” or “our”).

By clicking “Get my code,” requesting or entering an email verification code, joining the Sociala Widget waitlist, submitting the Sociala Widget quiz, requesting a personalized Widget preview, or otherwise participating in a program covered by these Waitlist Terms, you agree to these Waitlist Terms and acknowledge the Sociala Privacy Policy.

If you do not agree to these Waitlist Terms, you should not submit your information or participate in the waitlist or related programs.

Receiving an outreach email, viewing a personalized preview link, or being identified as a potential professional user before accepting these Waitlist Terms does not by itself create an agreement with Sociala. Personal-data processing that occurs before acceptance is governed by the Sociala Privacy Policy and applicable law.

1. Sociala Widget

The Sociala Widget is a standalone public link-in-bio landing page and monetization hub that eligible experts, creators, consultants, coaches, educators, and other professionals may share through LinkedIn, Instagram, TikTok, YouTube, Substack, websites, and other external channels.

Depending on availability, the Sociala Widget may allow a creator to:

The current intended MVP configuration may limit each creator to one Widget and may support up to fifty (50) call offerings per Widget. A Widget and certain modules, offers, or calls may have separate public URLs. These limits, URLs, modules, and product rules may change before or after launch.

A Widget may be created or claimed through Sociala or through a Sociala-controlled external landing page. Once a Widget is published, information selected for publication may be visible to anyone, may be shared outside Sociala, and may be indexed by search engines unless Sociala provides and the creator uses a more restrictive setting.

The final functionality, design, availability, pricing, eligibility requirements, limits, payment methods, geographic availability, launch date, and other characteristics of the Sociala Widget may differ from descriptions, illustrations, mockups, prototypes, demonstrations, or previews shown before launch.

Participation in the waitlist, quiz, preview, or early-access program does not constitute the purchase of a product or service.

2. Eligibility

To participate in the Sociala Widget waitlist, quiz, preview, or early-access program, you must:

Sociala may reject, remove, suspend, or restrict a submission that Sociala reasonably believes is inaccurate, fraudulent, automated, abusive, unlawful, duplicative, unauthorized, or otherwise inconsistent with these Waitlist Terms.

Participation may be unavailable or restricted in certain countries, regions, professional categories, or industries due to legal, regulatory, payment-processing, technical, business, or product requirements.

3. Joining the Waitlist

To join the Sociala Widget waitlist, you may be required to:

Sociala may use a six-digit or other one-time verification code for waitlist registration, account creation, login, or related access. To protect account security and privacy, Sociala’s verification screens and messages may use neutral language and may not disclose whether an account already exists for the submitted email address.

Sociala may invite waitlist participants gradually, in groups or waves, and may prioritize participants based on product, professional, geographic, technical, regulatory, compliance, payment, audience, testing, or business considerations.

Sociala is not required to provide access in chronological waitlist order.

4. Email Verification and Founding Year Association

When you request a verification code, Sociala may send a one-time verification email to the email address you provided.

Entering the correct verification code confirms control of the email address and allows Sociala to associate your waitlist registration and potential Founding Year eligibility with that email address.

Sociala may describe this association as “locking” or “reserving” your potential Founding Year eligibility to the verified email address.

Unless Sociala expressly confirms otherwise in a specific written notice, phrases such as “lock your Founding Year” or “locked to your email” refer to this conditional reservation of potential eligibility and do not mean that the benefit has already been activated.

However, email verification and waitlist registration alone do not activate the Founding Year benefit.

Activation of the Founding Year benefit remains subject to the requirements in Section 9 of these Waitlist Terms, including the requirement to create an eligible Sociala Widget by the applicable deadline.

5. Sociala Widget Quiz

Sociala may make an optional quiz, questionnaire, survey, or onboarding form available to:

A telephone number or messenger contact may be optional. Providing a telephone number or messenger identifier does not by itself authorize unrelated or recurring marketing through that channel. Where required, the applicable form will present a separate notice or checkbox for Widget setup, onboarding, support, feedback, or marketing communications.

You are responsible for ensuring that all information you submit is accurate, current, lawful, and authorized.

Submitting a quiz or questionnaire does not guarantee that Sociala will:

6. Personalized Widget Preview

Sociala may prepare a personalized preliminary Widget preview after you request one or provide a profile link. Sociala may also prepare a preliminary preview before you create an account or complete a Sociala form as part of lawful professional outreach, using information made publicly available through professional profiles, websites, directories, search results, or other lawful sources.

Sociala may use submitted or publicly available information to:

Information used for a preview may include your public name, professional name, profile image, biography, title, publicly described services, public links, professional topics, audience information, and other professional information displayed publicly or provided by you. Sociala will not ask for your social-media password through the waitlist, quiz, or preview process.

A preview may be hosted on sociala.space or another Sociala-owned or controlled domain and may be assigned a unique URL. A preview may be unlisted or not actively promoted, but unless Sociala expressly states that authentication or password protection applies, anyone who receives or discovers the URL may be able to view it. You should not treat a preview URL as confidential or share it with people who should not see it.

Sociala does not intend to include non-public information or sensitive personal data in an outreach-generated preview. You should not submit health information, religious beliefs, political opinions, sexual-orientation information, financial-account information, government identifiers, or other sensitive information through the quiz or preview process unless Sociala specifically requests it for a lawful and clearly disclosed purpose.

A personalized Widget preview:

You are responsible for reviewing a preview before claiming, activating, or publishing a Widget and for correcting inaccurate, outdated, unauthorized, or misleading information. You may request correction, disabling, or removal of a preview by contacting corp@sociala.com.

Unless you separately authorize Sociala to do so, Sociala will not use a personalized preview identifying you as a public advertisement, testimonial, endorsement, case study, or public portfolio example.

You may not represent an illustrative preview as a live, completed, publicly available, or officially approved Sociala Widget.

7. Communications Related to Your Request, Onboarding, and Feedback

Where you provide an email address, telephone number, WhatsApp number, Telegram username, or contact details for another messaging service, Sociala may contact you through the applicable contact method as described in this Section.

7.1. Email and Service-Related Communications

Sociala may contact you by email regarding:

These communications may be necessary to administer your request and are separate from optional recurring marketing communications.

7.2. Telephone, WhatsApp, Telegram, and Other Messenger Communications

Where you voluntarily provide a telephone number, WhatsApp number, Telegram username, or contact details for another messaging service, and the applicable form states that Sociala may contact you through that channel, Sociala may contact you through the selected or provided channel regarding:

Such communications may be sent by Sociala personnel or by authorized service providers acting on Sociala’s behalf.

Where the applicable form presents a notice or checkbox for telephone or messenger contact, Sociala will use that channel in accordance with the notice and any required consent. The first direct message may identify Sociala and remind you that the contact information was provided through the Sociala Widget quiz, preview, waitlist, or onboarding flow.

Sociala may contact you more than once where reasonably necessary to complete the applicable preview, onboarding, setup, support, or feedback process.

These communications must remain reasonably related to the request, preview, Widget, onboarding, or product experience associated with the contact information you provided. They are separate from recurring promotional or marketing communications.

Providing a telephone number or messenger contact does not automatically authorize Sociala to send unrelated promotions, newsletters, special offers, or recurring marketing messages through that channel. Where required by applicable law, Sociala will obtain separate consent before sending such marketing communications.

You may ask Sociala to stop contacting you through a telephone number or messaging service at any time by replying “STOP,” “UNSUBSCRIBE,” or otherwise clearly communicating that request. Sociala may still send communications through another authorized channel where necessary for security, legal, account, or transaction-related purposes.

Carrier, internet, mobile, or messaging charges imposed by your service provider may apply.

8. Marketing Communications

Sociala may offer you the option to consent to promotional or marketing communications through email, WhatsApp, Telegram, SMS, or another specified channel.

Marketing communications may include:

Where required by applicable law, marketing consent will be requested separately from waitlist registration or service-related communications.

Where required by law, marketing consent will be specific to the selected communication channel and will not be obtained through a preselected checkbox. Consent for email marketing does not authorize marketing by telephone, SMS, WhatsApp, Telegram, or another messenger.

Marketing consent is voluntary and is not required to:

You may withdraw your marketing consent or unsubscribe at any time through:

Unsubscribing from marketing communications does not prevent Sociala from sending necessary verification, waitlist, security, legal, administrative, transaction-related, or other non-marketing communications related to your request or account.

Consent to receive email marketing does not automatically constitute consent to receive marketing communications through WhatsApp, Telegram, SMS, or another separate communication channel.

9. Founding Year Program

9.1. Nature of the Program

The Sociala Widget Founding Year program is a limited promotional benefit intended for eligible early Sociala Widget participants.

Founding Year is a promotional designation only. It does not provide:

Founding Year is not a permanent pricing plan and does not guarantee permanent free use of Sociala or the Sociala Widget.

9.2. Founding Year Benefit

An eligible participant who validly activates the Founding Year benefit will receive a 0% Sociala platform service fee on Eligible Widget Calls for the first 365 consecutive calendar days beginning on the participant’s Widget Creation Date.

During the applicable 365-day period, the participant will continue to be responsible for Stripe’s applicable payment-processing fees and any other applicable third-party fees, taxes, costs, or charges.

After the applicable 365-day period expires, the standard Sociala platform service fee applicable to Widget Calls will apply.

As of the Effective Date of these Waitlist Terms, Sociala’s standard platform service fee for a completed paid Widget Call is a flat 5%, in addition to applicable Stripe and other third-party fees.

The Founding Year benefit guarantees a 0% Sociala platform service fee only for the applicable 365-day period. It does not create a lifetime guarantee that Sociala’s standard fee after that period will always remain 5%.

9.3. Eligibility Requirements

To activate the Founding Year benefit, all of the following requirements must be satisfied:

Waitlist registration or email verification reserves only potential eligibility.

The Founding Year benefit is not finally activated until all applicable conditions have been satisfied and the eligible Sociala Widget has been created.

Unless Sociala expressly grants an extension in writing, a participant who does not create an eligible Sociala Widget by the deadline will not activate the Founding Year benefit, even if the participant previously joined the waitlist or verified an email address.

Sociala does not guarantee that every waitlist participant will receive access to the Sociala Widget before the eligibility deadline.

Sociala may, in its discretion, grant a written extension or alternative activation period, including where access is offered close to or after the stated deadline. An extension granted to one participant does not require Sociala to grant the same extension to another participant.

9.4. Widget Creation Date

The “Widget Creation Date” means the date and time recorded in Sociala’s systems when the participant’s eligible Sociala Widget is first created.

The Founding Year period:

The Founding Year period will not be paused, extended, restarted, renewed, or delayed because the participant:

Sociala may expressly approve a correction or extension in writing where a verified technical or administrative error caused an incorrect Widget Creation Date.

Subject to correction of an evident technical or administrative error, Sociala’s system records will control the determination of the Widget Creation Date.

9.5. Eligible Widget Calls

For purposes of the Founding Year benefit, an “Eligible Widget Call” means a genuine paid real-time one-to-one call or consultation that:

Free calls do not incur a Sociala platform fee and therefore do not generate a credit, extension, refund, or substitute benefit under the Founding Year program.

Sociala may determine whether a transaction qualifies as an Eligible Widget Call based on its records, transaction data, booking data, completion status, product configuration, payment information, refunds, disputes, and applicable terms.

9.6. Scope of the 0% Benefit

The Founding Year benefit applies only to the Sociala platform service fee that would otherwise be charged on Eligible Widget Calls.

The benefit does not apply to:

Standard Sociala fees applicable to those products, services, or transactions will continue to apply, including during the participant’s Founding Year period.

9.7. Stripe and Other Excluded Fees

The Founding Year benefit does not waive payment-processing fees.

Stripe’s applicable processing fees will continue to apply during the Founding Year period.

Stripe fees may depend on factors including:

The Founding Year benefit does not cover or waive:

Sociala does not control fees imposed directly by Stripe, banks, financial institutions, payment networks, app stores, governments, or other third parties.

9.8. Association With Email and Account

Potential Founding Year eligibility is associated with the verified email address used to join the waitlist.

The participant must use the same verified email address when creating or connecting the Sociala account, unless Sociala approves an email change through its verification process.

Sociala may request additional information to confirm that the verified email address, Sociala account, business, participant, Widget, and applicable payment account belong to or are controlled by the same eligible participant.

Changing an email address without approval, creating duplicate accounts, or attempting to move the benefit to another person or entity may result in the loss of potential or activated eligibility.

A change to an approved public Widget URL or call-specific URL does not by itself restart, extend, duplicate, or transfer the Founding Year period. The benefit remains associated with the eligible participant, verified email, account, and Widget records maintained by Sociala.

9.9. One Benefit Per Participant

Unless Sociala expressly approves otherwise in writing, the Founding Year benefit is limited to:

Creating or controlling multiple accounts, emails, businesses, or Widgets does not entitle a participant to multiple Founding Year benefits.

9.10. Non-Transferability

Waitlist registration, potential eligibility, and the Founding Year benefit:

A sale, transfer, merger, restructuring, change of control, or other transfer of a business, Sociala account, Widget, or creator activity does not automatically transfer the Founding Year benefit.

Sociala may approve or reject a requested transfer at its discretion.

9.11. No Combination With Other Offers

The Founding Year benefit may not be combined with another discount, promotional fee waiver, special pricing arrangement, creator-specific agreement, referral arrangement, affiliate arrangement, or contractual fee arrangement unless Sociala expressly approves the combination in writing.

9.12. Good Standing and Compliance

Activation and continued use of the Founding Year benefit may require the participant to:

If Stripe, Sociala, a bank, payment network, app store, regulator, or governmental authority does not approve or support the participant’s account or activity, Sociala is not required to provide payment functionality or permit use of the Founding Year benefit.

9.13. Fraud, Misuse, and Circumvention

Sociala may deny, suspend, cancel, or terminate potential or activated Founding Year eligibility where Sociala reasonably determines that a participant has engaged in:

Where the Founding Year benefit is terminated because of fraud, abuse, circumvention, or a material violation, Sociala may:

9.14. Changes to or Discontinuation of the Program

Sociala may modify, suspend, limit, or discontinue the waitlist or Founding Year program for future participants.

Such changes may apply prospectively to participants who have not validly activated the Founding Year benefit.

Once a participant has validly activated the Founding Year benefit, Sociala will honor the 0% Sociala platform service fee on Eligible Widget Calls for the participant’s applicable 365-day Founding Year period, except where:

Sociala may correct typographical, technical, display, system, pricing, or administrative errors.

Sociala will not use an error-correction provision solely to retroactively revoke a validly activated Founding Year benefit because Sociala later decides to discontinue the program for future participants.

9.15. No Guarantee of Earnings

The Founding Year benefit does not guarantee bookings, calls, customers, users, revenue, income, profitability, audience growth, professional success, or any other commercial result.

10. Early Access

Sociala may invite selected waitlist participants to participate in testing, pilot programs, beta programs, preview programs, limited releases, or other early-access programs.

Sociala may select participants based on factors including:

Sociala is not required to select participants in chronological waitlist order.

Early-access functionality may be incomplete, contain errors, differ from the final product, be unavailable, be changed, be suspended, have limited support, or be discontinued.

Sociala may require participants to accept additional beta, creator, consultation, payment, confidentiality, recording, data-processing, or platform terms before receiving early access.

11. No Launch or Access Guarantee

Sociala does not guarantee:

Any estimated launch date communicated by Sociala is an estimate only and may change.

Sociala may modify, postpone, suspend, limit, or discontinue the waitlist, quiz, preview program, early-access program, Founding Year program, or Sociala Widget for product, technical, legal, regulatory, safety, compliance, payment, app-store, fraud-prevention, or business reasons.

Any activated Founding Year benefit will remain subject to Section 9.14.

12. Prohibited Conduct

You may not:

Sociala may remove a submission, revoke eligibility, restrict access, suspend an account, or take other reasonable action in response to prohibited conduct.

13. Intellectual Property

The Sociala name, Sociala trademarks, logos, designs, software, website, landing pages, quiz, Widget concepts, templates, layouts, prototypes, previews, text, graphics, and other Sociala materials are owned by or licensed to Sociala and are protected by applicable intellectual property laws.

Except for the limited right to view and use Sociala materials for their intended purpose, these Waitlist Terms do not transfer any ownership or intellectual property rights to you.

You retain any rights you hold in information and materials that you lawfully provide to Sociala.

You grant Sociala a limited, non-exclusive, worldwide, royalty-free license to access, reproduce, store, process, organize, adapt, and display the information and materials you submit solely as reasonably necessary to:

This license does not authorize Sociala to publicly use your name, image, profile, or personalized preview as an advertisement, testimonial, endorsement, or public case study without separate authorization, except where information is:

14. Privacy

Sociala processes personal information submitted through the waitlist, quiz, verification, communications, personalized preview, early-access, and Founding Year processes in accordance with the Sociala Privacy Policy.

15. Third-Party Platforms and Services

Instagram, LinkedIn, WhatsApp, Telegram, Meta, Stripe, banks, payment networks, app stores, and other third-party platforms and service providers are independent from Sociala.

Sociala is not sponsored, endorsed, administered by, or affiliated with a third-party platform merely because:

Your use of a third-party platform or service remains subject to that third party’s own terms, policies, fees, controls, and availability.

Sociala is not responsible for:

16. No Monetary or Property Value

A waitlist position, personalized preview, early-access invitation, potential Founding Year eligibility, or activated Founding Year benefit:

THE WAITLIST, QUIZ, PERSONALIZED PREVIEWS, EARLY-ACCESS PROGRAMS, PROMOTIONAL OFFERS, FOUNDING YEAR PROGRAM, AND RELATED MATERIALS ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SOCIALA DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY, COMPATIBILITY, AND FITNESS FOR ANY BUSINESS OR COMMERCIAL OBJECTIVE.

PREVIEWS, PROTOTYPES, EXAMPLES, ESTIMATES, DESIGNS, PRODUCT DESCRIPTIONS, AND LAUNCH DATES ARE ILLUSTRATIVE AND MAY NOT REFLECT THE FINAL PRODUCT.

SOCIALA DOES NOT GUARANTEE:

ANY MINIMUM NUMBER OF BOOKINGS OR CUSTOMERS; OR

ANY PARTICULAR BUSINESS OR FINANCIAL RESULT.

Nothing in these Waitlist Terms excludes any warranty, right, or remedy that cannot lawfully be excluded under applicable law.

18. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SOCIALA AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, SERVICE PROVIDERS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES.

THIS INCLUDES ANY LOSS OF PROFITS, REVENUE, BUSINESS, OPPORTUNITY, GOODWILL, DATA, ANTICIPATED SAVINGS, CUSTOMERS, REPUTATION, OR COMMERCIAL EXPECTATIONS ARISING OUT OF OR RELATED TO:

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SOCIALA’S TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATED TO THESE WAITLIST TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100).

Nothing in these Waitlist Terms excludes or limits liability that cannot legally be excluded or limited.

19. Relationship to Other Sociala Terms

If you receive access to or use the Sociala Widget, your access and use may also be governed by:

These Waitlist Terms govern participation in the waitlist, quiz, personalized preview, early-access process, and Founding Year promotional program.

Creating, claiming, publishing, or using a Widget and booking or conducting a call may require additional acceptance of the Terms of Use, Creator Terms, Fees and Commissions Policy, Payment Systems Policy, Consultation Policy, Privacy Policy, and other Platform Policies. A client booking a call may also be required to verify an email address and separately accept call rules addressing recording, cancellation, lateness, complaints, and related matters. Acceptance of these Waitlist Terms does not replace those later acceptances or consents.

If there is a conflict regarding an activated Sociala account, payments, calls, operational Widget functionality, or use of the Sociala Platform, the applicable Sociala Platform terms and policies will control.

However, where a participant has validly activated the Founding Year benefit, these Waitlist Terms will control with respect to the specific promise of a 0% Sociala platform service fee on Eligible Widget Calls during the applicable 365-day period, subject to the conditions and exceptions stated in these Waitlist Terms.

A specific written promotional notice issued by Sociala may grant a participant additional or more favorable benefits. Any such additional benefit applies only where expressly confirmed by Sociala in writing.

20. Changes to These Waitlist Terms

Sociala may update these Waitlist Terms from time to time.

The updated version will be posted with a revised Effective Date.

Where required by applicable law, Sociala will provide additional notice of material changes.

Changes may apply to continued participation in the waitlist, quiz, preview process, early access, or future promotional eligibility.

Changes will not retroactively revoke a validly activated Founding Year benefit solely because Sociala later changes or discontinues the Founding Year program for future participants, subject to the conditions and exceptions in Section 9.14.

Continued participation after the effective date of updated terms constitutes acceptance of the updated terms to the extent permitted by applicable law.

You may stop participating at any time by unsubscribing, requesting removal from the waitlist, or contacting Sociala.

21. Termination of Participation

You may request removal from the waitlist or deletion of applicable personal information by contacting Sociala at corp@sociala.com.

Sociala may terminate or restrict participation where:

Termination of waitlist participation does not automatically require deletion of information that Sociala is legally required or permitted to retain, including records necessary to:

Termination of a waitlist registration before activation of the Founding Year benefit terminates the associated potential eligibility unless Sociala expressly confirms otherwise in writing.

Termination of an activated Sociala account or Widget may affect an activated Founding Year benefit in accordance with Section 9.14 and the applicable Sociala Platform terms.

22. Governing Law and Venue

These Waitlist Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles.

Subject to any mandatory rights available under applicable consumer law, any legal action arising from or relating to these Waitlist Terms shall be brought in the state or federal courts located in New Castle County, Delaware, United States.

Nothing in this section deprives an individual of mandatory rights, remedies, or jurisdictional protections available under applicable law in the individual’s country or place of residence.

23. General Provisions

If any provision of these Waitlist Terms is held invalid, illegal, or unenforceable, the remaining provisions will remain in effect.

Sociala’s failure to enforce any provision does not waive its right to enforce that provision later.

You may not assign or transfer your rights under these Waitlist Terms without Sociala’s prior written consent.

Sociala may assign these Waitlist Terms in connection with a merger, acquisition, financing, corporate reorganization, sale of assets, transfer of the Sociala Widget business, or similar transaction.

These Waitlist Terms, together with the Sociala Privacy Policy and any specific written promotional disclosures presented to you, constitute the agreement between you and Sociala regarding the waitlist, quiz, personalized preview, early-access process, and Founding Year program.

Section headings are provided for convenience and do not affect interpretation.

The words “including,” “includes,” and similar terms mean “including without limitation.”
